Welcome to ShoppyZoo, a multi-tenant eCommerce and business website platform operated by Ren Global Services ("Ren Global Services", "ShoppyZoo", "we", "us", or "our").

These Terms & Conditions ("Terms") govern your access to and use of the ShoppyZoo website, platform, applications, services, features, and related products.

By registering for, accessing, or using ShoppyZoo, you agree to be bound by these Terms.

If you do not agree with these Terms, you should not use the ShoppyZoo platform.

1. About ShoppyZoo

ShoppyZoo is a multi-tenant technology platform designed to enable businesses, entrepreneurs, retailers, service providers, and organizations to establish and manage online stores, business websites, products, services, customers, orders, and related digital operations.

ShoppyZoo provides technology and infrastructure that may allow independent businesses ("Tenants") to operate their own online stores or business websites.

Unless expressly stated otherwise, ShoppyZoo is a technology platform and is not the seller, manufacturer, supplier, owner, or provider of products or services offered by individual Tenants.

2. Acceptance of These Terms

By creating an account or using ShoppyZoo, you confirm that:

  • You have read these Terms;

  • You understand these Terms;

  • You agree to comply with these Terms;

  • You will comply with applicable laws and regulations;

  • The information you provide is accurate and current; and

  • You have the legal authority to enter into these Terms.

If you are using ShoppyZoo on behalf of a business or organization, you confirm that you have authority to bind that business or organization.

3. Eligibility

You may use ShoppyZoo only if you are legally permitted to enter into an agreement under the laws applicable to you.

If you are under the minimum legal age required to independently use a particular service, you must use the service only with the involvement and permission of a parent, guardian, or other legally authorized adult where required.

Certain ShoppyZoo features may have additional eligibility requirements.

4. Account Registration

Some ShoppyZoo features require you to create an account.

You agree to:

  • Provide accurate information;

  • Keep your information updated;

  • Maintain the confidentiality of your login credentials;

  • Use your account only for lawful purposes;

  • Not share your account credentials with unauthorized persons;

  • Notify us promptly of suspected unauthorized access; and

  • Accept responsibility for activity occurring through your account, subject to applicable law.

We reserve the right to suspend or restrict accounts where we reasonably believe that an account is being used in violation of these Terms or applicable law.

5. Multi-Tenant Platform

ShoppyZoo operates using a multi-tenant architecture.

A Tenant may use the platform to create and manage an independent business website or online store.

Each Tenant may have its own:

  • Business information

  • Products

  • Services

  • Customers

  • Orders

  • Store settings

  • Branding

  • Content

  • Business data

  • Administrative users

Tenants are responsible for their own business operations and for ensuring that their use of ShoppyZoo complies with applicable laws and regulations.

6. Tenant Responsibilities

If you operate a business or store through ShoppyZoo, you are responsible for:

  • Providing accurate business information;

  • Providing accurate product and service information;

  • Maintaining lawful products and services;

  • Maintaining appropriate customer policies;

  • Processing customer orders appropriately;

  • Providing accurate pricing;

  • Handling applicable taxes and regulatory obligations;

  • Protecting customer information;

  • Complying with applicable privacy laws;

  • Complying with consumer protection laws;

  • Handling refunds, cancellations, and returns where applicable;

  • Resolving customer disputes relating to your products or services;

  • Maintaining appropriate business records; and

  • Ensuring that your content does not violate applicable laws or third-party rights.

Ren Global Services does not automatically assume responsibility for the independent business activities of Tenants.

7. Products and Services Sold by Tenants

Products and services displayed by individual Tenants are offered by those Tenants unless expressly stated otherwise.

The relevant Tenant is responsible for:

  • Product descriptions;

  • Product availability;

  • Pricing;

  • Delivery;

  • Shipping;

  • Returns;

  • Refunds;

  • Warranties;

  • Customer service;

  • Product quality; and

  • Compliance with applicable laws.

ShoppyZoo provides the technology platform through which such businesses may operate.

8. Orders and Transactions

Orders placed through a Tenant's store may constitute a transaction between the customer and the relevant Tenant.

The Tenant is responsible for fulfilling orders according to its stated policies and applicable law.

ShoppyZoo may provide technical functionality for order management but does not guarantee that every Tenant will accept, process, fulfill, or complete every order.

9. Payments

ShoppyZoo may support  and Gives you 19+ Automatic and Unlimited Offline or Manual gateways support 27+ Payment methods.

14+ Awesome Themes / Templates and 10+ VCard Styles and QR Builder integrations without third-party payment providers.

Payment processing may be subject to the terms and policies of the applicable payment provider.

Ren Global Services may not be responsible for:

  • Payment-provider outages;

  • Payment-provider processing decisions;

  • Bank declines;

  • Fraud prevention decisions;

  • Currency conversion;

  • Third-party payment disputes; or

  • Other matters controlled by the payment provider.

Tenants remain responsible for their applicable pricing, taxes, refunds, and financial obligations.

10. Subscriptions and Platform Fees

Certain ShoppyZoo services may be provided under paid subscription plans or other pricing models.

Applicable fees, billing periods, features, and limitations will be displayed on the relevant pricing or subscription page.

You agree to pay applicable fees associated with the services you select.

We may change pricing or subscription plans from time to time. Where required by applicable law, we will provide appropriate notice before material changes affecting existing subscriptions.

11. Refunds and Cancellations

Refund and cancellation terms may depend on:

  • The ShoppyZoo subscription purchased;

  • The applicable Tenant's policies;

  • The transaction involved;

  • Applicable law; and

  • The relevant payment provider.

Where ShoppyZoo directly charges a customer for a subscription or service, the applicable refund policy presented at the time of purchase will apply, subject to applicable law.

Where a customer purchases a product or service from an independent Tenant, the Tenant's applicable refund and cancellation policy may apply.

12. User Content

Users and Tenants may submit or upload content, including:

  • Text

  • Images

  • Logos

  • Product information

  • Videos

  • Business information

  • Store content

  • Reviews

  • Promotional material

  • Other digital content

You remain responsible for content that you submit or upload.

You represent that you have the necessary rights, permissions, and authority to use and submit such content.

13. Content License

By submitting content to ShoppyZoo, you grant Ren Global Services the limited rights necessary to host, store, process, display, reproduce, transmit, and technically operate that content as required to provide the ShoppyZoo services.

This license is intended to enable operation of the platform and does not transfer ownership of your underlying intellectual property to Ren Global Services.

14. Prohibited Activities

You must not use ShoppyZoo to:

  • Break applicable laws or regulations;

  • Commit fraud or deception;

  • Infringe intellectual-property rights;

  • Upload malicious software;

  • Attempt unauthorized access to accounts or systems;

  • Interfere with platform security;

  • Collect personal information unlawfully;

  • Abuse or harass other users;

  • Impersonate another person or organization;

  • Publish misleading or fraudulent information;

  • Use the platform for unlawful transactions;

  • Circumvent security or access controls;

  • Reverse engineer the platform where prohibited by law;

  • Attempt to disrupt platform operations;

  • Use automated systems to abuse or overload the platform; or

  • Engage in any activity prohibited by applicable law.

We may investigate suspected violations and take appropriate action.

15. Intellectual Property

The ShoppyZoo platform, including its software, design, branding, logos, graphics, interfaces, documentation, and original platform content, may be owned by or licensed to Ren Global Services.

Except as expressly permitted, you may not:

  • Copy;

  • Modify;

  • Reproduce;

  • Distribute;

  • Sell;

  • Lease;

  • Reverse engineer;

  • Create derivative works from; or

  • Exploit

any part of the ShoppyZoo platform without appropriate authorization.

Third-party trademarks and intellectual property remain the property of their respective owners.

16. Tenant Intellectual Property

Tenants retain ownership of their original business content, trademarks, logos, product information, photographs, and other intellectual property, subject to the rights granted to ShoppyZoo under these Terms.

Tenants are responsible for ensuring that their content does not infringe the rights of others.

17. Privacy and Data Protection

Your use of ShoppyZoo is also subject to our Privacy Policy.

Tenants that collect personal information through their ShoppyZoo-powered websites or stores may have separate responsibilities under applicable privacy and data protection laws.

Tenants are responsible for providing appropriate privacy notices and ensuring that their processing of customer information is lawful.

Where Ren Global Services processes personal information on behalf of a Tenant, the parties may need appropriate contractual arrangements governing such processing.

18. Third-Party Services

ShoppyZoo may integrate with or provide access to third-party services, including:

  • Payment providers;

  • Hosting providers;

  • Analytics services;

  • Email services;

  • Communication services;

  • Shipping providers;

  • Marketing services;

  • Authentication providers; and

  • Other external services.

Third-party services may be governed by their own terms and policies.

Ren Global Services is not responsible for third-party services that are outside our reasonable control.

19. Availability of the Platform

We aim to keep ShoppyZoo available and reliable, but we do not guarantee that the platform will always be:

  • Available;

  • Uninterrupted;

  • Error-free;

  • Completely secure; or

  • Free from technical issues.

The platform may occasionally be unavailable because of:

  • Maintenance;

  • Updates;

  • Security measures;

  • Technical failures;

  • Infrastructure problems;

  • Third-party service failures;

  • Network problems;

  • Events outside our reasonable control; or

  • Other operational reasons.

20. Platform Changes

We may modify, improve, replace, suspend, or discontinue features or services from time to time.

We may introduce new features, remove outdated functionality, modify interfaces, or change technical requirements.

Where required by applicable law or contractual obligations, we will provide appropriate notice of material changes.

21. Account Suspension and Termination

We may suspend or terminate an account or access to ShoppyZoo where:

  • These Terms are violated;

  • Applicable law requires action;

  • Fraud or abuse is suspected;

  • The account presents a security risk;

  • Payment obligations are not met;

  • The platform is being misused; or

  • Other legitimate reasons require restriction.

Where appropriate and legally permitted, we may provide notice and an opportunity to resolve the issue before termination.

Users may also request termination of their accounts subject to applicable contractual obligations and outstanding matters.

22. Effect of Termination

Following termination:

  • Access to the relevant account or services may be disabled;

  • Applicable subscription services may end;

  • Certain information may be retained where required by law or legitimate business purposes;

  • Outstanding payment obligations may remain due; and

  • Provisions that by their nature should survive termination may continue to apply.

23. Disclaimers

To the maximum extent permitted by applicable law, ShoppyZoo is provided on an "as available" and "as is" basis.

We do not guarantee:

  • That every Tenant will operate lawfully;

  • That every product or service offered by a Tenant will meet customer expectations;

  • That every transaction will be completed;

  • That third-party services will always be available;

  • That the platform will always be error-free; or

  • That the platform will satisfy every individual business requirement.

Nothing in these Terms excludes rights or protections that cannot lawfully be excluded.

24. Limitation of Liability

To the maximum extent permitted by applicable law, Ren Global Services will not be liable for indirect, incidental, special, consequential, exemplary, or punitive losses arising from your use of the platform.

This may include, where legally permitted:

  • Loss of profits;

  • Loss of revenue;

  • Loss of business opportunities;

  • Loss of data;

  • Business interruption; or

  • Loss arising from third-party services or Tenant activities.

Nothing in these Terms limits liability where such limitation is prohibited by applicable law, including liability that cannot legally be excluded or limited.

25. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Ren Global Services and its affiliates, officers, employees, contractors, and service providers from claims, losses, liabilities, damages, costs, or expenses arising from:

  • Your violation of these Terms;

  • Your unlawful use of ShoppyZoo;

  • Your business activities;

  • Your products or services;

  • Your content;

  • Your violation of third-party rights; or

  • Your violation of applicable laws.

26. Force Majeure

Ren Global Services will not be responsible for delays or failures caused by circumstances beyond our reasonable control, including:

  • Natural disasters;

  • Government actions;

  • Internet or telecommunications failures;

  • Infrastructure failures;

  • Cybersecurity incidents beyond reasonable control;

  • Power failures;

  • Labor disputes;

  • War or civil unrest;

  • Epidemics or pandemics; or

  • Other events beyond reasonable control.

27. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of:

The remaining provisions will continue in effect.

31. Entire Agreement

These Terms, together with the Privacy Policy and any additional agreements or policies expressly incorporated into them, constitute the agreement governing your use of ShoppyZoo, subject to any separate written agreement between you and Ren Global Services.
